Authorized Reseller Policies
To be an authorized reseller of the products of Leading Edge Health (“LEH,” “we,” “us,” or “our” for short), a Canada corporation, you must
abide by the Authorized Reseller Policies (“Policies” for short).
If you have questions about the Policies or any other aspect of selling LEH products (“Products” for short), please contact the Wholesale Department

- General Representations
- You signed up for an account for yourself or the business where you work, and not for another person or unrelated business.
- All the information you provided is accurate (our vetting of applicants helps you because it ensures the reputation of the brand).
- The e-mail address you provided is one you check regularly; if you change it, you will notify us.
- Miscellaneous Obligations
- Review the Policies here from time to time, and comply with updates.
- Tell us the names of all your websites and/or storefronts so that we can distinguish you from unauthorized sellers; sales under other names are forbidden.
- If you intend to sell to a reseller, you will identify the reseller to us in advance so that we may vet the reseller, and LEH must approve the sale before it occurs.
- Selling on e-commerce platforms is prohibited without the express, written consent of LEH; if consent is given, the platform(s) must be specified in the consent.
- Quality Control to Ensure Efficacy, Safety, and Freshness
- Do not open boxes or bottles.
- Do not change the exteriors of boxes or bottles; for instance, do not add stickers or tamper with any features that ensure that the Products are genuine.
- Store Products in a cool, dry place, without exposure to direct sunlight.
- Remove Products with damaged boxes or bottles from your stock.
- Sell Products well enough in advance of the expiration dates so that customers can use up the supply before expiry.
- Do not sell products that have been returned.
- If you do your own shipping, use packing materials that prevent damage.
- If you use third-party fulfillment, confirm that these procedures are followed.
- Other Added Value
- Whenever you feel you need instruction in the use and care of the Products, we will provide that to you, so that you may answer customer questions better.
- Make your Product claims consistent with the claims on official LEH websites (footers indicate if the website is LEH’s), to enhance your credibility, and to ensure that the Product is not misrepresented to the consumer.
- If possible, offer satisfaction guarantees with methods for returns and refunds.
- Provide customer service, for instance, respond to questions about use and care, and respond to complaints.
- You may consult with us regarding customer questions and complaints.
- If you are unable to offer customer service, contact us for assistance with customer questions and complaints.
- To avoid a race to the bottom based on price, which hurts all resellers, and in order to encourage value-added measures, which make you more competitive and promote brand reputation for your benefit,
you must sell at or above the advertised retail price when selling to end-consumers. (For an explanation of why this is an important benefit to resellers,
see the U.S. Supreme Court case Leegin Creative Leather Products, Inc. v. PSKS, Inc., Leegin Creative Leather Products, Inc. v. PSKS, Inc., 551 U.S. 877 (2007)).
- If you sell to a downstream reseller, you must ensure that they adhere to the above pricing for end-consumers, and we will hold you liable if they fail to do so.
- Tell your customers about Product recalls if we send you a notice.
- From time to time, LEH will give authorized resellers access to promotions.
- You will receive a brochure in each shipment that provides information about many of the Products.
- Offer a warranty of replacement if the Product arrives damaged to the consumer.
- If you spot an item that seems counterfeit, tell us, so as to protect brand integrity.
- Intellectual Property
- The intellectual property associated with LEH and its brands (including trademarks and copyrights, whether registered or unregistered) (“IP”) are the exclusive property of LEH.
- You may not take any step to register the IP, directly or indirectly, or to represent to anyone that such IP belongs to any entity other than LEH.
- You have a non-exclusive license, transferable only with our express authorization, and never to more than one downstream seller, to use LEH trademarks in Products you sell, solely for purposes of those sales, and this license is automatically revoked when you cease to be a Distributor.
- Independence
- You are independent of LEH, and may not represent that you have any status with LEH other than reseller.
- You are solely liable to third parties for your acts or omissions, including violations of statutes and regulations, and liability resulting from violations of the Policies.
- Termination and Legal Remedies
- We may terminate your status as an authorized reseller at will, with or without cause.
- If you breach any of the Policies, we will pursue all available legal and equitable remedies, to the full extent of the law.
- That includes your acceptance, hereby, of automatic liability for a $20,000.00 damages payment (twenty thousand U.S. Dollars) to LEH, which is enforceable in any court of competent jurisdiction. This is intended not as a penalty but rather as an estimation of harm done to the program that is difficult to gauge with precision (liquidated damages).
- That also includes the forfeiture to LEH of any monies from you for orders from you that are pending, for which the monies are currently in the possession of LEH.
- In the event of any dispute arising between LEH and you (including your officers, directors, employees, contractors, affiliates, buyers, heirs, successors, assigns, and/or any other persons or entities associated with the subject of these Policies) that arise, directly or indirectly, out of the subject of these Policies and the business activities that stem therefrom, the parties hereto shall attempt to resolve their dispute(s) through mediation, and if that should fail, by binding arbitration, at the Vancouver offices of the Arbitration Association of British Columbia, in accordance with its rules and procedures then in effect.
- LEH shall endeavor to arrange for remote participation in the proceedings by you, if you prefer.
- If substantive law must be applied to the resolution of the dispute(s), then the law of the Province of British Columbia and the federal laws of Canada shall be applied without regard to conflict of laws jurisprudence.
- Judgment upon the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction.
- All costs and expenses of any arbitration or court proceeding (including fees and disbursements of counsel) shall be borne by the respective party incurring such costs and expenses.
- You hereby acknowledge that there is equal bargaining power between us because of the unlimited revenue that you are able to accrue as a result of selling in the program, as well as your ability to negotiate pricing and other aspects of selling, and moreover you have been put on clear notice of the Authorized Reseller Policies prior to enrolling in the program.
